Snow Plowing Contract

This Snow Plowing Contract (hereinafter referred to as the "Contract") is made and entered into on [Contract Effective Date] (the "Effective Date"), 
 
By and Between 
 
[Client Name] (hereinafter referred to as the “Client”), residing at [Client Address], and; 
 
[Contractor Name] (hereinafter referred to as the “Contractor”), having its principal place of business at [Contractor Address]. 
 
The Client and the Contractor are collectively referred to as the "Parties" and individually as the "Party."
 
WHEREAS the Client desires to engage the Contractor to remove the snow at its residence located at [Snow Plowing Service Location] (hereinafter referred to as the "Property");
 
AND WHEREAS the Contractor, who is a professional snow removal contractor, has agreed to render such services to the Client.
 
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties hereby agree as follows:

TERMS AND CONDITIONS.

1. SCOPE OF SERVICES.

The Contractor hereby agrees to provide the following snow removal services ("Services") to the Client:
 
(a) Plow all driveways, roads, parking areas, and sidewalks

(b) Apply de-icing to the requested areas

(c) [Add Other Services]

2. TERM.

The Client and the Contractor hereby agree that the Services are to be rendered from [Service Start Date] to [Service End Date] as per the schedule mentioned below:

3. PAYMENT.

In consideration of the Services provided by the Contractor, the Client shall pay the total amount of [Total Payment] ("Total Fee") to the Contractor. The Client shall pay an initial deposit of [Initial Deposit] to the Contractor upon signing this Contract. The remaining balance, including any additional fees from all issued invoices, is due and fully payable upon the completion of the Services. All fees shall be invoiced [Invoice Schedule] to the Client. If invoices are not paid when due, the Contractor shall charge a late fee of [Late Payment Fee]. 

The mode of payment shall be [Mode of Payment] as agreed by the Parties.

4. PERFORMANCE.

The Contractor shall perform the services in an efficient and timely manner and shall ensure to do the following:
 
(a) Use quality equipment and materials;

(b) Adhere to the pre-determined schedule;

(c) Obtain documents such as licenses, permits, etc., which are necessary to perform such services;

(d) Not obstruct the operations of the Property while rendering such services;

(e) If the Client requests an additional snow plowing service, the Contractor shall make sure to render such services to the Client;

(f) [Additonal Performance Obligations].

5. INSURANCE.

The Contractor shall obtain and maintain all insurance coverages required by federal or state law during the term of this Contract and, upon request, shall provide proof of such insurance to the Client.

6. LIMITATION OF LIABILITY.

Neither Party shall be liable to the other for indirect, special, or consequential damages arising out of this Contract hereunder, including but not limited to loss of profit, revenue, or equipment.

7. INDEMNIFICATION.

The Client agrees to defend, indemnify, and hold the Contractor harmless against any and all direct or indirect demands, claims, liabilities, causes of action, damages, expenses, or costs arising out of willful misconduct or gross negligence by the Contractor, their employees, or their approved subcontractors.

8. TERMINATION.

This Contract may be terminated by either Party as follows:

(a) Upon [Termination Notice Period in Days] day(s) prior written notice to the other Party, with or without cause;

(b) Upon the breach of any terms mentioned herein, the Contract.

(c) Upon completion of the Services and full payment by the Client.

9. TIME IS OF THE ESSENCE.

The Contractor acknowledges that time is of the essence for the performance of all Services mentioned herein in the Contract.

10. DISPUTE RESOLUTION.

If any dispute arises out of this Contract that cannot be resolved by mutual agreement, the Parties agree to resolve the dispute through arbitration. There shall be [Number of Arbitrators] arbitrator(s) who shall be appointed by [Arbitration Appointing Party Name]. The venue of arbitration shall be [Location of Arbitration], and the Seat shall be [State of Seat]. The arbitrator(s)’ decision will be final and binding upon both Parties.

11. INDEPENDENT CONTRACTOR.

Nothing contained in this Contract shall be taken to establish any partnership, joint venture, or employment relationship. It is hereby understood and agreed that the Contractor is an independent contractor.

12. NOTICES.

All notices to the parties, physical or digital, shall be made to the respective parties through their certified mailing address.

13. ASSIGNMENT.

This Contract, herein, is binding upon the Parties outlined in the Contract. The Contractor shall refrain from assigning this Contract, partially or as a whole, to any third-party contractor or subcontractor without the written consent of the Client.

14. GOVERNING LAW.

The Contract and all the terms contained herein shall be governed by and construed as per the laws of [Governing Law]. 

15. SEVERABILITY. 

In the event that any provision in this Contract is held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability will not affect any other provisions of this Contract, and all other provisions will remain in full force and effect.

16. FORCE MAJEURE. 

If either Party is unable to perform its obligations under the terms of this Contract because of acts of God, strikes, equipment or transmission failure or damage reasonably beyond its control, or other causes, the Parties shall not be held liable for such damages.

17. AMENDMENTS. 

No modification or waiver of the provisions of this Contract shall be valid or binding on either Party unless in writing and signed by both Parties.

18. LEGAL AND BINDING CONTRACT. 

This Contract is legal and binding between the Parties as stated above. This Contract may be entered into and is legal and binding in the [Legal and Binding State]. The Parties each represent that they have the authority to enter into this Contract.

19. ENTIRE CONTRACT. 

The Parties acknowledge that this Contract sets forth and represents the entire Contract between both Parties.
